Tapfiliate is a company that enables advertisers (“Advertisers”) to market their products online with the help of publishers (“Affiliates”). Tapfiliate contracts only with Advertisers and has no responsibility in the relationship between Advertisers and Affiliates. Tapfiliate offers tools to improve, register and facilitate online marketing through Affiliates (the “Service”). The payment of Affiliates shall always be the sole responsibility of the Advertisers and Tapfiliate shall therefore never be held liable for any damages resulting from any failure of the Advertiser to pay an Affiliate in a complete and timely manner. By accepting these Terms, any Advertiser using our Service warrants that he will pay the relevant Affiliate in a complete and timely manner.

By using Tapfiliate, you agree to be bound by the following terms and conditions (“Terms”). Tapfiliate reserves the right to update and change these Terms from time to time without notice. Any new updates, features or options that will be added to the Service, including the release of new tools and resources, shall be subject to these Terms. Please note that these Terms may be amended from time to time. In continuing to use the Service you confirm that you accept the then current terms and conditions in full at the time you use the Service.

1. REGISTRATION

To make use of the Service, it is necessary to create an account (“Account”).
The Service is intended solely for persons who are 18 or older. Any access to or use of the Service by anyone under 18 is expressly prohibited. By accessing or using the Service you represent and warrant that you are 18 or older.
To create your Account you will have to provide your full name, your current email-address and your credit card details (only Advertisers).
Anyone who registers, agrees that all information supplied on registration is true and accurate and will be kept up to date at all times. If the information provided is not true and/or accurate, we reserve the right to block, cancel or remove your Account.
You are responsible for the security of your username and password. Tapfiliate shall not be held liable for any damage resulting from your failure to comply with this security obligation.
Your Account is strictly personal and may not be used by anyone else. You may not impersonate any other person in any registration whether or not that other person is a user of the Service.
You are the only responsible party for the personal information provided on registration.
We reserve the right to terminate your registration immediately without notice if in our opinion you have breached these Terms.
You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

2. PAYMENT

A valid, chargeable credit card or chargeable paypal account and billing agreement is required for paying accounts. If neither of these is present on the account, the account may be closed.
The Service is billed in advance on a monthly or yearly basis (Monthly or Annual Subscription Period) as according to the rates specified on Tapfiliate's pricing page; https://tapfiliate.com/pricing/. Billing starts automatically when the 14-day free trial ends.
Paid Service can be refundable as provided herein. There will be no refunds or credits for partial months of service, nor will Tapfiliate refund for months unused with an open account.
Tapfiliate will only agree to refund requests for annual billing when your account has been closed within the first 30 days after the initial payment took place. In case of Monthly billing, Tapfiliate will only refund the initial payment made when your account has been closed within the first 30 days after the initial payment took place.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.
Tapfiliate has no responsibility or legal power to ensure the payment of the Advertiser and accepts no responsibility or liability in the event that the Affiliate fails to arrange or collect payment from the Advertiser.

3. UPGRADING, DOWNGRADING AND TRACKING EVENTS

Tapfiliate offers different Services levels. Every Service level includes a different number of tracking events (“Tracking Events”). You may upgrade or downgrade your Service level at any given time during your subscription period (the “Subscription Period”) in accordance to the terms specified herein. Changing your Service Level during the Subscription period will have immediate effect.
In case of an upgrade to a higher Service level of your Monthly Subscription Period, the monthly fee of the higher Service level will be charged minus the difference between the total amount of the paid for the Service level before upgrading, and the amount of the fee for the days not used (pro rata). In case of an upgrade of your Annual Subscription you will be charged with the yearly fee of the higher Service level minus the difference between the total amount of the paid of the Service level before upgrading and the amount of the fee for the days not used (pro rata).
Downgrading your Service Level during the Monthly Subscription period is possible at any given moment. Downgrading your Service level or changing from Annual Subscription to a Monthly Subscription during the Annual Subscription period is only possible within the first 30 days of the initial payment or within the last week of the annual paid Service period, by written request to the Tapfiliate Support Team. The monthly fee will be adjusted accordingly the next month of the Subscription period.
When you upgrade or downgrade your Service Level the new calculated rate will be automatically charged on the next billing date. We will charge the financial service account as provided by you.
Downgrading your Service may cause the loss of content, features, or capacity of your Account. Tapfiliate does not accept any liability for such loss.
Every Service level has its own number of tracking events (“Tracking Events”). Whenever the number of Tracking Events, as agreed upon and limited in the relevant Service level, is exceeded during the Subscription Period, we will calculate the price for the surplus Tracking Events in accordance with the overage fees listed on the pricing page as part of Service level. In such a case, the extra costs of the surplus Tracking Events will be added to the relevant monthly fee.

4. CANCELLATION AND TERMINATION

We may, in our discretion and without liability to you, with or without cause, with or without prior notice and at any time, decide to limit, suspend, deactivate or cancel your Account.
If we exercise our discretion under these Terms to do so, any or all of the following can occur with or without prior notice or explanation to you: (a) your Account will be deactivated or suspended, your password will be disabled, and you will not be able to access the Service, or receive assistance from our customer service.
You may cancel your Account at any time from the Subscription & Billing page > Plan page. You are solely responsible for properly canceling your account. Please note that if your Account is canceled, we do not have an obligation to delete or return to you any content.
All of your content (text and files) may be immediately deleted from the Service upon cancellation. This information cannot be recovered once your account is canceled.
If you cancel the Service before the end of your current Service Period, your cancellation will take effect immediately and you will not be charged again.
Tapfiliate, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other service from Tapfiliate, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all content in your Account. Tapfiliate reserves the right to refuse service to anyone for any reason at any time.

5. MODIFICATION TO THE SERVICE AND PRICES

Tapfiliate reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
Prices of all Services, including but not limited to monthly subscription Service fees, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Tapfiliate Site (www.tapfiliate.com).
Tapfiliate shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

6. INTELLECTUAL PROPERTY

We reserve all rights in relation to our copyright whether owned or licensed to us and all rights are reserved to any of our registered and unregistered trademarks (whether owned or licensed to us) which appear on this website.
We do not screen user-generated content or information on the Service and we cannot give any assurance as to its accuracy or completeness. Users of the Service are expressly asked not to publish any defamatory, misleading or offensive content or any content which infringes any other persons intellectual property rights (eg. copyright). Any such content is contrary to our policy we do not accept liability in respect of such content, and the user responsible will be personally liable for any damages or other liability arising and you agree to indemnify us in relation to any liability we may suffer as a result of any such content.
Tapfiliate has the right in its sole discretion to refuse or remove any Content that is available via the Service.
The Service and this website or any portion of the Service or the website may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without our express written consent. You may not systematically extract and/or re-utilise parts of the contents of the Service without our express written consent. In particular, you may not utilize any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilisation of any substantial parts of the Service without our express written consent.
All content posted on the Service must comply with the relevant copyright law.
We claim no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours. However, if you or anyone else with access to your account makes any content public, you agree to allow others to view and share your content.

7. LIABILITY

We will not be responsible for any breach of these Terms caused by circumstances beyond our reasonable control.
Although we aim to offer you the best service possible, we make no promise that the Service will meet your requirements. We cannot guarantee that the Service will be fault-free.
Your access to the Service may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore the Service as soon as we reasonably can.
From time to time it may be necessary to suspend access to the Service for a period of time and any such interruptions shall not constitute a breach by us of these Terms.
We will not be liable for any business, financial, or economic loss nor for any consequential or indirect loss (such as lost reputation, lost profit or lost opportunity) arising as a result of your use of the Service whether such loss is incurred or suffered as a result of our negligence or otherwise.
In no event will Tapfiliate be liable for any consequential, special, indirect, or exemplary damages whatsoever arising out of (i) errors, mistakes, or inaccuracies of the Service, (ii) any unauthorized access to or use of our secure servers and/or any and all personal, institutional, technical or other information stored therein, (iii) any interruption or cessation of transmission to or from the Service, (iv) any bugs, viruses, Trojan horses, or the like, which may be transmitted to or through the Service by any third party, or for any loss or damage of any kind incurred as a result of the use of the Service, however caused and under any theory of liability (including negligence), even if advised of the possibility of such damages. Users acknowledge that the amounts payable under these Terms are based in part on these limitations, and further agree that these limitations will apply notwithstanding any failure of essential purpose of any limited remedy. The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.
Tapfiliate's liability will never exceed the fees paid by you to Tapfiliate in the year immediately proceeding the event causing the damages.
The User agrees that the above exclusions of liability are reasonable in all the circumstances, especially in light of the fact that our Service includes only the provision of the Service and responsibility for any payment to Affiliates lies solely with the Advertisers.

8. GENERAL

Your use of the Service is at your sole risk. The Service is provided on an “as is” and “as available” basis.
You understand that Tapfiliate uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service or Tapfiliate.
You may not reverse engineer or reuse source code that is in public view. This includes any and all javascript.
Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Tapfiliate customer, employee, member, or officer will result in immediate Account termination.
You understand that the technical processing and transmission of the Service, including your content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
You must not upload, post, host, or transmit unsolicited email or “spam” messages.
You must not transmit any worms or viruses or any code of a destructive nature.
If your bandwidth usage exceeds the monthly limit, or significantly exceeds the average bandwidth usage, we reserve the right to immediately suspend your account or throttle your file hosting until you can reduce your bandwidth consumption or upgrade your account.
We do not warrant that (i) the Service will meet your specific requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, (iv) the quality of any products, the Service, information, or other material purchased or obtained by you through the Service will meet your expectations.
The failure of Tapfiliate to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and Tapfiliate and govern your use of the Service, superseding any prior agreements between you and Tapfiliate (including, but not limited to, any prior versions of these Terms).
Neither party will be liable to the other or be deemed to be in breach of these Terms by reason of any delay in performing, or any failure to perform, any of their obligations, if the delay or failure was due to any event of force majeure beyond their reasonable control such as severe weather, subsidence, power or other utility cut-off, burglary, natural disaster, strikes, governmental action, terrorism, war or civil unrest.
The parties agree that these Terms are fair and reasonable in all the circumstances. However, if any provision of these Terms is held not to be valid by a court of competent jurisdiction but would be valid if part of the wording were deleted, then such provision shall apply with such deletions as may be necessary to make it valid. If any of the provisions in these terms are held not to be valid the remaining provisions of these terms shall remain in full force and effect.
If you breach these terms and conditions and we decide to take no action or neglect to do so, then we will still be entitled to take action and enforce our rights and remedies for any other breach.
We may make changes to the format of the Service or the content of the Service at any time without notice.
Advertisers will be solely responsible for the registration of Affiliates. Such registration can be executed for instance through a branded registration page, as a result of which Affiliates might receive transactional emails from Tapfiliate.
The Advertiser will impose these general terms and conditions unconditionally upon all its Affiliates and is and will be in all circumstances liable for any infringement on these terms by any Affiliate and/or any claim brought forward by one or more Affiliates.
Affiliates who registered before a white label was activated by the Advertiser, will not be able to use the custom sub domain or the domain alias to login on the affiliate portal. As a result of this they will not be able to see the custom branding. They will be able however to promote the programs of the Advertiser and all Affiliate links will remain active
Once a domain alias has been created, without any costs this alias can be changed during the first 7 days. After this term of 7 days, Tapfiliate will be entitled to charge extra costs for such change.

9. GOVERNING LAW AND JURISDICTION

These terms will be interpreted in accordance with the laws of the Netherlands, without regard to its conflict-of-law provisions. You and we agree to submit to the personal jurisdiction of the court of Amsterdam.

GDPR stands for General Data Protection Regulation, it was passed by the European Parliament in 2016, and its enforcement date is May 25th 2018. The regulation not only introduces a series of important changes in the digital world, but also levels the field across Europe, in an important step to harmonize and create a single European digital market.

At Tapfiliate, we always put the customer at the heart of what we do, and complying with the new General Data Protection Regulation was for us just another way of embracing our mission of creating a better internet experience.

The Actors

The GDPR defines a series of actors that play the most important roles in the data life-cycle:

Data subject: All of us are data subjects, as long as we provide data to any other entity that collects, stores or uses it in any way. Any user of an online service is a data subject.
Data controller: Any public or private entity requesting, collecting and/or using data for any purpose. Online shops or social platforms are data controllers.
Data processor: Those not directly requesting the data from the subjects, but associated to those who do it, and therefore co-responsible for its security. Third-party services like server storage, customer care centers, providers of B2B services, etc. are data processors.
Data Protection Officer: Required in larger companies or institutions as an internal point of contact, responsible for the implementation of policies and security of personal data within that institution.
Supervisory Authority: Is the local authority in charge of controlling and applying the GDPR in every EU State Member.

In the case of Tapfiliate we are the data processor for the data coming from our direct clients. Our direct clients, those setting up an affiliate program using our service, are the data controller.

Your Data, Your Rights

Under the new regulation, subjects have a number of important rights:

Information: Companies and other institutions dealing with data must provide Terms & Conditions of their services in a clear and understandable way, informing users who they are, of the purpose of the collection of the data, the duration it will be stored, and any possible third parties that might receive that data.
Consent: Companies must require a clear consent from you, as well as taking extra steps to ensure that children get parental consent to provide data.
Access: Under request, data controllers have to provide you with confirmation as to whether they have any data from you or not.
Portability: You have the right to request a copy of your data in a commonly used way, machine-readable format, and free of charge, allowing you to take the data with you to a different provider at any time.
Breach Notification: Companies handling your data must notify you about any breaches that may result in a risk for you within 72 hours of first having become aware of the breach.
Right to be Forgotten: You are entitled to require any data about you to be deleted. This can only be denied if the data controller understands that erasure would undermine the public interest.
Profiling: Companies commonly use complex algorithms that analyze large aggregated data on things like the search terms in your search engine, your shopping patterns, your favorite films, your downloaded apps, etc. They do this in order to adjust their services to your previous history, as well as creating profiles of people that infer behavior form the common traces: Same as a marketing app that assumes that you might like product C because you previously bought product B, but sometimes this can get less innocent, like assuming you might not be eligible for a life insurance because you search a lot of recipes full of fat. This is of course an exaggeration, but the GDPR establishes that if a company is using profiling to process applications for legally-binding agreements - like a Loan or an insurance - they must inform you, and also make sure a person, not a machine, is checking the process if the application ends in a refusal. You also have the right to contest the decision.
Opting out: You have the right to opt out from marketing services that might use your data.
Extra sensitive data: The GDPR requires that any data regarding your health, race, sexual orientation, religion and political beliefs must include extra steps to be safeguarded.
Global reach: The GDPR requires that every company around the world processing data of individuals residing in the EU must comply with the new regulation. This means that a company using third-party providers outside of the EU must also make sure those services are in line with the GDPR.

Enforcement

To make sure this all happens, fines are set for companies that do not comply, amountingto 4% of the annual global turnover or €20 million (whichever is greater).

Click data

After reviewing Recital 26 of the (full GDPR text), sampling our click data and having conferred with the Dutch Data Protection Authority, we have concluded that it will not be reasonably possible to (re)identify an individual. Hence we believe that this data can be classified as being anonymous and thus the GDPR does not apply to this data.

Cookies

Cookies are used by Tapfiliate to attribute conversions to affiliates - by default we do not collect personal data from visitors of your website(s). We will never profile visitors.
The newest version of Tapfiliate’s javascript code tracks affiliate conversions using first party cookies, unless otherwise noted. As first party cookies give your visitors the best privacy, we are making an effort to move as many customers as possible to using first party cookies only.
Due to the anonymous nature of the data we collect, we believe our cookies should be qualified as “Analytical cookies”. The current draft of the upcoming E-Privacy directive shows that exemptions to cookie consent requirements should be made for analytical cookies. The E-Privacy directive was supposed to be implemented at the same time as the GDPR. However, the implementation has been delayed. Until the time of implementation, make sure you have the proper legal grounds for using cookies; consent being the most obvious choice.

Using meta data

Using the meta data feature, Tapfiliate clients are able to send additional information alongside conversions. Meta data is highly customizable, and what meta data is sent alongside conversions will vary depending on the client use case. The data controller will need to ensure to have a legal grounds for processing this this meta data.

When exposing meta data to affiliates; if the exposed meta data is personal data, this data will have to be shared to us in a GDPR compliant manner. Be aware that as a data controller when exposing meta data to affiliates that may be personal data, the affiliate (now a third party) is also required to be GDPR compliant.

How to ensure you are collecting meta data in a GDPR compliant manner:

Ensure you have a legal grounds for processing, e.g. consent
Know what steps to take if a data subject exercises their right to be forgotten
Be aware of third parties you share meta data with, ensure that they too are GDPR compliant

Location of your data

The Tapfiliate platform, APIs, databases, and other services are all hosted in AWS’s data center in Ireland.

The way forward

Together with our counsel, and through conference with the Dutch Data Protection Authority, we have determined which steps we needed to take to become GDPR compliant. As the GDPR text leaves room for interpretation in places, we will be keeping a very close eye on the developments. We are hereby committing ourselves to always react to new insights and update our products and policies accordingly.

Tapfiliate B.V. (“Tapfiliate”) respects your privacy. We fully comply with the General Data Protection Regulation and the Dutch Telecommunications Act (Telecommunicatiewet) and other regulations regarding the processing of personal data and privacy. Personal data

In this Privacy Policy, your “personal data” means information or pieces of information that could allow you to be identified as a person.

When disclosing your personal information to us by creating a Tapfiliate account on our Website, you consent to the collection, storage and processing of your personal information as stated in this Privacy Policy. You can withdraw your consent at any time.

Which personal data do we process?

Tapfiliate collects your personal data when you create or update your account necessary to complete Tapfiliate’s online forms for a wide range of activities of Tapfiliate.
Tapfiliate processes information obtained from yourself on the basis of your consent. Processing of your personal data is necessary for the performance of a contract or on the basis that the processing is necessary for the purposes of the legitimate interests of Tapfiliate. These legitimate interests are that the processing of the personal data is necessary for Tapfiliate to be able to identify you as a user on our platform.
The mandatory personal data Tapfiliate collects are:
Nominative Information: Title, first name(s), surname(s): Your nominative details are needed to properly identify you, to communicate with you, to provide you with the products and services you have requested.
Full postal work and/or private address: The postal address is needed because it helps to correctly verify your identity (where other persons have the same or a similar name).
E-mail address: Electronic communication is for most purposes Tapfiliate’s preferred method of communication because it is generally convenient, rapid, effective, environmental friendly and efficient. In order to be able to communicate with you directly electronically, Tapfiliate needs your e-mail address. You are therefore required to supply your e-mail address when you create your account on the Website, which enables you to access a variety of services online. Additionally, because we only permit a particular e-mail to be used once in our system, it reduces the possibility of duplicates. Finally, it permits “Forgot Password” to be handled in an automated secure way.
In some cases, we ask you for additional information if this is needed for the services provided by Tapfiliate. For example, Tapfiliate processes payment information provided by you, if such information is necessary.
I.P. address: We use your IP address when resolving support cases, when solving technical issues with our platform and in fraud cases.

How do we use your personal data?

We use and process the personal data you have provided us with for the purposes described below.
- We use your e-mail address and personal details to send you information and updates and to accept you as a user of the Website. We may also send you information about topics that might be interesting for you. You can unsubscribe from these services at any time.
- In case we cannot identify you, we will ask for more detailed information such as a copy of your ID. We will erase this information directly after you have been identified by us.
- In case of fraud, we will share your personal data with the victim in order to allow this person to file a report with the police. We will not share more data than necessary for the report, and we will notify you in advance when we are about to share your data for this purpose.

Tapfiliate does not sell, trade, or rent your personal data to third parties.

Third-party service providers

In order to render our services, there are data that we will need to share with third-party service providers.
Personal data are only shared with processors and/or third parties if this is necessary to carry out services for you. We share personal data with:
* Amazon Web Services: Amazon Web Services (AWS) is the main hosting provider of the Tapfiliate platform.
* Woopra: Woopra provides a customer analytics tool, which is uses primarily for troubleshooting support issues.
* Google: Google provides several services that help to analyze and improve Tapfiliate’s products.
* Facebook, Twitter, LinkedIn, Microsoft Avdertising: We engage certain third-party service providers to serve advertisements on our behalf across the Internet and to provide analytics services.
* Satismeter: We use Satismeter to gather your feedback about our product
* Sendgrid: Sendgrid is used to send transactional emails. Sendgrid is used specifically when the customer has configured a custom sender email address.

* Stitch: Stitch provides Tapfiliate with data pipeline services. It is used it to bring data from sub-processors and Tapfiliate’s databases into Tapfiliate’s analytical data warehouse, hosted on AWS.
* Hotjar: We use Hotjar to make screen recordings of user sessions. We use this for improving our product and to trouble shoot support issues.
* Support Ninja: Support Ninja provides us with customer support services outside our regular business hours. All agents are, full-time, dedicated team members who have received the same training as our agents at HQ. They do not have access to data of your affiliates.
* Intercom: Intercom is our main customer support tool. We use it to message you and you can use it to message us. Next to that, we use Intercom to send you automated emails (mainly during onboarding). These emails trigger based on your behavior on our website. For example: If we expect you are getting stuck at a specific point during the onboarding, we send you an email with helpful tips & tricks.

If we share your personal information with a processor, we make sure the processor complies with the GDPR by signing processing agreements.
